Terms and Conditions

Neshiva is intended for specific non-emergency wellness and health concerns. If you believe

you are experiencing a medical emergency, call 911 or go to your nearest emergency room.

This User Agreement (together with Neshiva's Privacy Policy) governs your use of the Neshiva

website, patient portal, and related services (collectively, the "Services") offered by Neshiva

Wellness LLC and its affiliates ("Neshiva,

" "we,

" "us,

" or "our").

Please read this Agreement carefully. It contains legally binding terms, including a mandatory

arbitration provision and class action waiver, described in Section 20 below.

1. Introduction

These Terms of Use ("Terms") describe your rights and responsibilities when using Neshiva's

website and platform (the "Platform"). By accessing or using the Platform, you acknowledge that

you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

You understand and agree that these Terms are entered into between you and Neshiva,

regardless of how you arrived at the Platform. By using the Platform, you consent to conduct

business electronically, to receive communications from Neshiva and its affiliated clinical

partners at the phone number and email you provide, and you agree such electronic consent

has the same effect as a written signature. If you do not agree to these Terms, you may not use

the Platform.

2. Modification of Terms

We may amend these Terms at any time, for any reason, in our sole discretion. The "Last

updated" date above reflects the most recent revision. Continued use of the Platform after

changes are posted constitutes your acceptance of the amended Terms. If you do not agree to

the amended Terms, your only remedy is to stop using the Platform.

3. Description of Neshiva's Services

The Platform is designed to facilitate:

Collection and secure storage of your health information for use in encounters with

licensed clinicians;

Administrative support for scheduling and paying for clinical consultations;

Administrative support for coordinating optional fulfillment and payment of medications

ordered by a clinician;

Technology that connects you with independent, licensed healthcare providers for

consultation, assessment, and treatment.

Neshiva collects information from you — including health history, current medications, and

relevant personal information ("Your Information") — so that an independent, licensed clinician

can determine, in their own professional judgment, whether treatment is appropriate for you

("Clinical Services"). You consent to Neshiva sharing Your Information with its affiliated clinical

partners and their clinicians for this purpose, and with pharmacies or labs as necessary to

coordinate fulfillment of anything a clinician prescribes or orders.

Neshiva is not a healthcare provider. All Clinical Services are provided by independent,

licensed clinicians affiliated with third-party professional entities that contract with Neshiva.

These clinicians — not Neshiva — are solely responsible for the Clinical Services provided to

you, including all diagnoses, treatment decisions, and prescriptions. Neshiva does not practice

medicine, does not control or direct clinical judgment, and is not a pharmacy.

4. Eligibility

To use the Services, you must:

Be at least 18 years old;

Reside in the United States, in a state where the Services are offered;

Agree to be bound by these Terms;

Have compatible devices and internet access.

Meeting these requirements does not guarantee you will receive Clinical Services. Clinicians

may determine, in their own judgment and on a case-by-case basis, that treatment through the

Platform is not appropriate for you.

5. Availability

Services are currently available only in certain states. Contact us at support@neshiva.com for

current availability.

6. Registration and AccountsYou must register to access most Services. You are responsible for keeping your login

credentials confidential, for all activity under your account, and for promptly notifying us of any

unauthorized use. You may not share your account or maintain more than one account.

Information you submit through the Platform ("User Data") may be used by Neshiva and shared

with our service providers and affiliated clinicians to deliver the Services, and may be used in

de-identified or aggregate form for research, quality improvement, or product development.

7. Your Responsibilities

You agree that:

All information you provide is accurate and complete, and you will keep it updated;

You will not misrepresent your identity or health information;

Treatment recommendations depend entirely on the accuracy of the information you

provide, and Neshiva cannot independently verify it;

If your information is inaccurate, incomplete, or we have reasonable grounds to suspect

as much, we may suspend or terminate your account.

8. Restrictions on Use

You agree not to:

Use the Platform on behalf of anyone other than yourself;

Violate any law or third party's rights while using the Platform;

Attempt to bypass security features, including by using a modified or "jailbroken" device,

which may expose your protected health information to unauthorized disclosure;

Resell, sublicense, or commercially exploit the Platform;

Use the Platform to build a competing product;

Interfere with, damage, or attempt unauthorized access to the Platform or its systems;

Introduce malware or harmful code;

Scrape, copy, or republish Platform content outside of personal, non-commercial use.

9. License

Subject to your compliance with these Terms, Neshiva grants you a limited, personal,

non-transferable, revocable license to access and use the Platform for your own

non-commercial use. All rights not expressly granted are reserved by Neshiva.

10. Not a Substitute for Comprehensive Medical CareThe Platform addresses specific wellness and health concerns and is not comprehensive

medical care. Always consult a qualified healthcare provider regarding any health condition,

medication, or before starting or stopping any treatment.

11. Telehealth Consent

Services are delivered via telehealth — electronic communication connecting you with a

licensed clinician in another location. Telehealth carries benefits and risks like any medical

encounter. You will be required to separately review and accept a Telehealth Informed Consent

describing these risks before receiving Clinical Services.

12. Text Messaging Program

If you opt in to receive text messages from Neshiva, message frequency may vary and

message/data rates may apply. Reply STOP to opt out at any time, or email

support@neshiva.com. Reply HELP for assistance. Consent to receive texts is not a condition

of purchase. Carriers are not liable for delayed or undelivered messages.

13. Payment

By submitting a request for Clinical Services, you authorize Neshiva and its payment processor

to charge your payment method for all applicable fees, including clinician fees and any product

costs. Consultation fees are non-refundable. Prescription products cannot be returned for reuse

or resale; all product sales are final. Charges may vary depending on the specific treatment or

pharmacy involved — we will notify you of any material change before charging you.

Neshiva's affiliated clinicians are not contracted with any health insurance plan, including

Medicare or Medicaid. You are solely responsible for all fees related to Clinical Services, and no

portion may be covered by insurance. Payment information is processed and secured by our

third-party payment processor; review their privacy practices directly for details on how your

payment data is handled.

14. Privacy

See our Privacy Policy for details on how we collect, use, and disclose your information.

15. Intellectual Property

Neshiva owns all right, title, and interest in the Platform, its content, and any feedback you

provide. You may use the Platform only for personal, non-commercial purposes consistent with

these Terms. Neshiva's name, logo, and marks may not be used without our written permission.16. Third-Party Links

The Platform may link to third-party websites we do not control. We are not responsible for their

content, accuracy, or practices, and your use of any linked site is at your own risk.

17. Disclaimer of Warranties

THE PLATFORM AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE,

" WITHOUT

WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF

MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

WE DO NOT GUARANTEE THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR

SECURE.

18. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, NESHIVA WILL NOT BE LIABLE FOR ANY

INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING

FROM YOUR USE OF THE PLATFORM. TO THE EXTENT PERMITTED BY LAW, NESHIVA'S

TOTAL LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID TO

NESHIVA IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. SOME JURISDICTIONS

DO NOT ALLOW THESE LIMITATIONS, SO THEY MAY NOT APPLY TO YOU.

19. Indemnification

You agree to indemnify and hold Neshiva harmless from any third-party claim arising from your

breach of these Terms, misuse of the Platform, or violation of law.

20. Governing Law; Arbitration; Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS,

INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY TRIAL.

a. Informal Resolution First. If you have a dispute with Neshiva, you agree to first send a written

notice describing the dispute to support@neshiva.com, so the parties can attempt to resolve it

informally. If the dispute is not resolved within 60 days of that notice, either party may proceed to

arbitration as described below.

b. Agreement to Arbitrate. You and Neshiva agree that any dispute, claim, or controversy arising

out of or relating to these Terms, the Platform, or the Services (a "Dispute") will be resolved

through binding, individual arbitration rather than in court, except as set out in subsection (e)

below.c. Arbitration Provider and Procedure. Arbitration will be administered by the American

Arbitration Association (AAA) under its rules then in effect, available at

https://adr.org/industries/consumer/. The arbitration will be conducted by a single arbitrator.

Unless you and Neshiva agree otherwise, the arbitration will take place in Miami-Dade County,

or may be conducted remotely if permitted by the arbitration provider's rules.

d. Opt-Out Right. You may opt out of this arbitration agreement by sending written notice to

support@neshiva.com within 30 days of first accepting these Terms. Your notice must include

your name, the email address associated with your account, and a clear statement that you

decline to be bound by this arbitration provision. If you opt out, neither you nor Neshiva will be

required to arbitrate disputes with the other, but all other parts of these Terms will still apply.

e. Exceptions to Arbitration. Notwithstanding subsection (b), either party may bring an individual

action in small claims court, and either party may seek injunctive or equitable relief in court for

claims related to intellectual property or unauthorized access to the Platform.

f. Class Action Waiver. YOU AND NESHIVA AGREE THAT EACH MAY BRING CLAIMS

AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR

CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE

ACTION. If a court determines this class action waiver is unenforceable as to a particular claim,

that claim (and only that claim) will proceed in court rather than in arbitration, and the remainder

of this arbitration provision will still apply to all other claims.

g. Governing Law. These Terms are governed by the laws of the State of Florida, without regard

to its conflict-of-laws principles, except to the extent the Federal Arbitration Act applies to this

arbitration provision.

h. Severability. If any part of this Section 20 is found unenforceable, the remainder will still apply,

except that Section 20(f) may only be severed as described in that subsection.

21. Termination

You may stop using the Platform at any time. We may suspend or terminate your access at any

time, for any reason, with or without notice. Provisions that by their nature should survive

termination (including Sections 17–20) will survive.

22. Miscellaneous

These Terms are the entire agreement between you and Neshiva regarding the Platform. If any

provision is found unenforceable, the remaining provisions remain in effect. You may not assign

your rights under these Terms without our written consent.23. Contact

Neshiva is a wellness platform that connects users with independent, licensed clinicians.

Neshiva does not provide medical or pharmacy services directly, and payment does not

guarantee that any clinician will prescribe or dispense any treatment. This site is informational

and promotional in nature and is not a substitute for professional medical advice.
